TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using Max Recruit Labs ("the Platform," "we," "us," or "our"), including our website at maxrecruitlabs.com and any related mobile applications, you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms apply to all users of the Platform, including athletes, program administrators, coaches, recruiters, brand partners, college affiliates, fans, and any other individual or entity that accesses the Platform.

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Platform after any changes constitutes acceptance of the new Terms. We will notify registered users of material changes via email or through the Platform.

2. User Accounts and Eligibility

Eligibility

To create an account on Max Recruit Labs, you must be at least 13 years of age. If you are between 13 and 18, you must have a parent or legal guardian review and consent to these Terms on your behalf. By creating an account, you represent and warrant that you meet these eligibility requirements.

Account Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account at support@maxrecruitlabs.com.

Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. Falsifying your identity, stats, academic records, athletic achievements, or any other profile information is strictly prohibited.

One Account Per Person

You may not create more than one account without our express permission. Creating multiple accounts to circumvent restrictions, manipulate the platform, or for any deceptive purpose is prohibited and will result in termination of all associated accounts.

3. User Conduct and Acceptable Use

Max Recruit Labs is built to connect athletes, programs, coaches, and brands in a professional, respectful environment. By using the Platform, you agree to conduct yourself accordingly.

You agree NOT to:

• Post false, misleading, or fraudulent information on any profile, message, or listing
• Harass, bully, threaten, or intimidate any other user
• Post content that is obscene, hateful, discriminatory, or otherwise objectionable
• Use the Platform to send spam, solicitations, or unsolicited commercial messages
• Impersonate any person or entity, or falsely claim an affiliation with any person or entity
• Attempt to gain unauthorized access to other users' accounts or the Platform's systems
• Use any automated means (bots, scrapers, crawlers) to access or collect data from the Platform without our express written permission
• Upload viruses, malware, or any malicious code
• Interfere with or disrupt the Platform's functionality or servers
• Use the Platform for any illegal purpose or in violation of any applicable laws or regulations
• Attempt to reverse engineer, decompile, or extract the source code of the Platform

We reserve the right to remove any content that violates these Terms and to suspend or terminate accounts that engage in prohibited conduct, with or without notice, at our sole discretion.

4. Athlete and Program Profiles

The Platform allows athletes and programs to create public-facing profiles to showcase athletic abilities, statistics, and accomplishments to coaches, recruiters, and brand partners.

Profile Content

You are solely responsible for all content you post on your profile, including text, photos, videos, statistics, contact information, and any other materials. By posting content, you represent and warrant that:

• You own or have the necessary rights to the content you post
• The content is accurate and not misleading
• The content does not violate anyone else's rights, including privacy, publicity, or intellectual property rights
• Any statistics or academic information posted is truthful and verifiable

License to Display

By posting content to your public profile, you grant Max Recruit Labs a worldwide, non-exclusive, royalty-free license to display, distribute, and promote that content on and through the Platform. This license exists solely so we can show your profile to other users — which is the entire purpose of the Platform. You retain all ownership rights to your content.

Profile Verification and Approval

We reserve the right to review, approve, reject, or remove any profile at our discretion. Profiles containing false information, inappropriate content, or content that violates these Terms may be rejected or removed without notice.

5. Subscriptions, Payments, and Billing

Subscription Plans

Max Recruit Labs offers various subscription plans with different features and pricing. The specific features, pricing, and terms of each plan are described on our Pricing page and during the subscription process. We reserve the right to modify our plans and pricing with reasonable notice to subscribers.

Payment Processing

All payments are processed through Stripe, our third-party payment processor. By subscribing, you agree to Stripe's terms of service and privacy policy. We do not store your full credit card or payment information on our servers.

Automatic Renewal

Unless you cancel before the end of your current billing period, subscriptions automatically renew at the same rate and for the same duration as the original subscription. You authorize us to charge your payment method for each renewal period.

Cancellation

You may cancel your subscription at any time through your account Settings or by contacting us at billing@maxrecruitlabs.com. Cancellation takes effect at the end of the current billing period. You will retain access to the Platform's paid features until that date. No refunds are issued for partial billing periods.

Refund Policy

All payments are non-refundable unless otherwise required by applicable law. In the event of a platform error resulting in an unauthorized or incorrect charge, we will work with you to resolve the issue promptly.

NIL and Affiliate Earnings

For athletes and programs participating in NIL (Name, Image, and Likeness) opportunities through our Platform, payments from brands and sponsors are processed according to the terms of each specific campaign or agreement. Max Recruit Labs may deduct applicable platform fees as disclosed at the time of the campaign. We are not a party to the underlying agreement between athletes and brands; we only facilitate the connection and provide infrastructure.

6. Intellectual Property

Our Intellectual Property

The Max Recruit Labs platform, including its design, code, logos, trademarks, branding, and all associated materials, is the exclusive property of Max Recruit Labs. You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Platform without our express written permission.

Your Intellectual Property

You retain full ownership of all content you upload to the Platform, including photos, videos, statistics, and biographical information. By uploading content, you grant us the limited license described in Section 4 solely for the purpose of operating and displaying the Platform.

Copyright Infringement

If you believe that any content on the Platform infringes your copyright, please contact us at legal@maxrecruitlabs.com with a detailed description of the alleged infringement. We will investigate and take appropriate action in accordance with the Digital Millennium Copyright Act (DMCA).

7. Disclaimers and Limitation of Liability

Platform Provided "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAX RECRUIT LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content posted by users on the Platform.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MAX RECRUIT LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Platform
• Any conduct or content of any third party on the Platform
• Unauthorized access, use, or alteration of your transmissions or content
• Any errors or omissions in any content
• Any interaction, agreement, or transaction between you and another user or third party facilitated by the Platform

Cap on Liability

In no event shall our total liability to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the greater of (a) the total amount you have paid to Max Recruit Labs in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00).

8. Indemnification

You agree to indemnify, defend, and hold harmless Max Recruit Labs, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to (a) your violation of these Terms, (b) your use or misuse of the Platform, (c) your content posted on the Platform, or (d) your violation of any third party rights, including intellectual property, privacy, or publicity rights.

9. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, for any of the following reasons:

• Violation of these Terms of Service
• Fraudulent, deceptive, or illegal activity
• Non-payment of subscription fees
• Harassment, abuse, or harm to other users
• Any conduct that we believe, in our sole discretion, is harmful to the Platform or its community

Effect of Termination

Upon termination, your right to access and use the Platform immediately ceases. Your profile and associated content may be removed from public view. We are not liable to you or any third party for termination of your account or removal of your content.

Survival

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability.

10. Third-Party Services and Links

The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by Max Recruit Labs. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.

Your interactions with third-party services found through the Platform, including payment processing through Stripe, Shopify store integrations, and NIL brand partnerships, are solely between you and the third party. Max Recruit Labs is not responsible for any loss or damage arising from your dealings with third parties.

We strongly encourage you to read the terms and privacy policies of any third-party services you interact with.

11. Dispute Resolution

Informal Resolution

Before filing any formal legal claim, you agree to first contact us at legal@maxrecruitlabs.com and attempt to resolve the dispute informally. We will make reasonable efforts to resolve any dispute within thirty (30) days.

Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in [State of Incorporation], unless otherwise agreed. You agree to waive any right to participate in a class action or representative proceeding against Max Recruit Labs.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [State of Incorporation], without regard to its conflict of law provisions.

12. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Max Recruit Labs concerning your use of the Platform.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Max Recruit Labs.

Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
